We regularly advise clients on private equity transactions, corporate restructurings, joint ventures and statutory mergers (including with structures in other offshore jurisdictions).

Our private equity lawyers provide efficient and commercially driven legal advice and services, based on our deep understanding of the sector and broad industry expertise. Our capability spans the entire lifecycle of this asset class, from fund formation, through investment, to exits and beyond.

We advise a broad range of clients and advisers who handle restructurings. These regularly involve Turks and Caicos Islands entities in and out of court, financial recapitalisations, business reorganisations, acquisitions and liquidations.

We are experienced in advising on joint ventures, distribution and licensing agreements, and shareholder arrangements. We work with leading investors, banks and companies, providing legal advice on all aspects of joint venture arrangements, including the structuring and establishment of joint venture vehicles and the preparation of documentation, as well as securing the necessary regulatory approvals.

Our team also advises on insurance matters relative to the establishment, regulatory compliance and business operations of insurance and reinsurance companies (including producer owned reinsurance companies, also known as PORCs). We have a particular focus on the formation of captive insurance companies.

With our allied specialist, licensed corporate manager and formation agent, G&P Corporate Services, are able to rapidly and efficiently form a domestic corporate vehicle, transaction ready, and provide management and other services, including assisting with and assessing the impact of the economic substance legislation requirements for local companies.

Our commercial team also provides business and immigration support to assist clients throughout the application process for business licenses, vessel importation and registration, work and residency permits.
